1. Introduction
These Terms and Conditions (the "Agreement") govern the sale and purchase of laboratory equipment,
instruments, consumables, and chemicals (collectively referred to as the "Products") from Genlab Scientific, a
proprietorship firm established under the laws of India. By placing an order or engaging in any business transactions
with us, you agree to comply with and be bound by these terms.
2. Acceptance of Terms
By accessing or using our products, services, or website, you acknowledge that you have read, understood, and
agree to be bound by these terms and conditions. These terms supersede any previous agreements,
representations, or understandings between the parties.
3. Orders and Acceptance
•All orders placed with Genlab Scientific are subject to acceptance by us.
• The order is only considered accepted once we issue an order confirmation or dispatch the Products, whichever
occurs first.
• Genlab Scientific reserves the right to reject any order at its discretion for reasons including, but not limited to,
credit issues, product availability, or non-compliance with terms.
4. Pricing
• All prices are in Indian Rupees (₹) unless otherwise stated.
• The prices listed on the website or quotation are subject to change without prior notice due to fluctuations in costs,
exchange rates, or other factors beyond our control.
• Taxes, duties, or additional charges (such as shipping, handling, or customs fees) are not included in the price and
will be charged separately as applicable.
5. Payment Terms
• Payment for all orders must be made in advance unless otherwise agreed in writing.
• Accepted modes of payment include bank transfer, cheque, and any other methods as specified by Genlab
Scientific.
• Late payments are subject to a late fee of 2% per month, or the maximum permissible under Indian law, whichever
is lower.
• Genlab Scientific reserves the right to cancel or suspend orders in the event of non-payment or delayed payments.
6. Delivery and Shipping
• Genlab Scientific will make reasonable efforts to ensure that all Products are delivered within the estimated time
frame provided.
• Shipping charges are the responsibility of the customer unless otherwise agreed in writing.
• The risk of loss, damage, or theft to the Products passes to the customer once the Products have been dispatched
from our premises.
• After shipment, we do not hold any responsibility for any damages, losses, or delays that occur during transit. The
customer is advised to inspect the products upon receipt and report any discrepancies immediately
• Delivery is subject to the availability of the shipping carrier and may be delayed due to factors such as strikes,
weather, or customs processing.
7. Returns and Cancellations
• All sales are final unless the Products are defective or damaged upon delivery
• Products must be inspected immediately upon receipt. Any damages, shortages, or defects must be reported to us
within 7 days of delivery.
• Returns will only be accepted if the Products are returned in unused, uninstalled, unopened condition, and are
within 30 days of delivery.
• Special-order or customized products are non-returnable unless damaged or defective.
• Genlab Scientific reserves the right to charge a restocking fee for any returned items.
8. Warranty
• Genlab Scientific does not provide a warranty for the Products sold. All Products are sold with the warranty
provided directly by the manufacturer, OEM, brand or supplier.
• The warranty terms and conditions are subject to the manufacturer's, OEM’s, or supplier’s brand's standard
warranty policy, which may vary depending on the specific Product.
• Warranty coverage typically includes defects in materials and workmanship, and is valid for a period specified by
the manufacturer from the date of purchase.
• The warranty does not cover damage caused by misuse, mishandling, improper installation, or unauthorized
repairs.
• The customer must contact the manufacturer or brand directly for warranty claims. Genlab Scientific will assist in
directing customers to the relevant manufacturer or service center if needed. Proof of purchase is required for all
warranty claims.
9. Limitation of Liability
• In no event shall Genlab Scientific be liable for any indirect, incidental, consequential, or punitive damages,
including but not limited to, loss of profits, loss of business, or data, arising out of or in connection with the sale or
use of the Products.
• After shipping, Genlab Scientific does not hold any responsibility for damages, losses, or delays that occur during
transit. Our total liability in respect of any claim for damages arising from any cause shall not exceed the amount
paid by the customer for the specific Products involved in the claim.
10. Force Majeure
Genlab Scientific shall not be liable for any failure to perform or delay in performance of its obligations under this
Agreement caused by events beyond our reasonable control, including but not limited to, natural disasters, acts of
government, strikes, or failure of suppliers.
11. Intellectual Property
• All intellectual property rights, including trademarks, patents, copyrights, and trade secrets related to the Products
and services offered by Genlab Scientific, are owned by us or our licensors.
• No license is granted to the customer for the use of our intellectual property, except as necessary for the lawful
use of the Products.
12. Confidentiality
Since these Terms and Conditions will be available publicly on our website, both parties agree to maintain the
confidentiality of any proprietary or sensitive business information exchanged in connection with this Agreement.
By engaging in business with us, the customer agrees not to disclose any confidential information to third parties
without prior written consent, unless required by law or legal process.
13. Governing Law and Dispute Resolution
• This Agreement shall be governed by and construed in accordance with the laws of India.
• Any dispute arising out of or in connection with this Agreement shall be resolved through arbitration under the
provisions of the Arbitration and Conciliation Act, 1996. The venue of arbitration shall be Raipur, Chhattisgarh, and
the language shall be English.
• Both parties agree to make good faith efforts to resolve any disputes amicably prior to initiating formal arbitration.
14. Indemnity
The customer agrees to indemnify and hold harmless Genlab Scientific, its directors, employees, and agents from
any claims, damages, losses, or expenses arising from the use, misuse, or resale of the Products.
15. Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in
full force and effect.
16. Changes to Terms and Conditions
Genlab Scientific reserves the right to modify or amend these terms and conditions at any time, with such changes
becoming effective immediately upon posting on our website or notifying the customer.
17. Customer's Obligations
• The customer agrees to provide accurate and complete information regarding billing and shipping details at the
time of placing an order.
• The customer is responsible for ensuring that all necessary permits, licenses, or approvals are obtained for the use
of the Products in their jurisdiction, where applicable.
• The customer agrees to inspect Products upon receipt and promptly notify Genlab Scientific of any issues as per
the guidelines provided in these terms.
18. Product Availability and Substitution
• In the event that a Product is temporarily unavailable or discontinued, Genlab Scientific will notify the customer
and, if applicable, offer a comparable alternative. If no alternative is available, the customer may cancel the order
and receive a full refund for the unavailable Product.
• Genlab Scientific reserves the right to substitute Products with items of equal or greater quality in case of
unavailability.
19. Privacy Policy
Genlab Scientific values your privacy. Any personal data provided by the customer will be processed in accordance
with our Privacy Policy, available on our website. This includes how we collect, use, and protect your information
when placing orders or communicating with us.
20. Sustainability and Compliance
All Products supplied by Genlab Scientific comply with relevant industry standards and regulations. We are
committed to sustainability and work with suppliers who share our values for ethical and responsible business
practices. Where applicable, the Products provided by us meet necessary environmental and safety standards.
